These Terms govern your access to and use of our public website located at https://www.skillsbridge.ai/ (the "Site"), including our blog, resource articles, case studies, partner or career listings, contact forms, interactive features, and public evaluation tools (collectively, the "Services") provided by SkillsBridge.AI Inc. ("SkillsBridge.AI," "we," "us," or "our").

By browsing, accessing, or using the Site—including using any of our public interactive tools or submitting information through our web forms—you agree to be bound by these Terms. If you do not agree to these Terms, please do not use or access the Site.

Enterprise Platform Customers: If you or your organization has purchased a subscription to our proprietary enterprise AI platform (including the Transform Work or Transform Workforce suites), your access to and use of that private platform is strictly governed by a separate, bilateral Master Services Agreement (MSA), Order Form, or other enterprise agreement executed between your organization
and SkillsBridge.AI. These public website Terms do not govern, modify, or supersede your enterprise platform contract.

1. Scope of the Website & "Free Tools"

The Site is a public-facing resource designed to provide information about SkillsBridge.AI—the premier AI platform designed to redesign work for the agentic era and equip workforces to lead it. Through our Site, we share strategic insights on People + AI collaboration, facilitate partner relationships, and host lightweight interactive features.

As part of the Site, we may offer public, interactive AI utility tools free of charge (our "Free Tools"), such as our Create Job Description or Test AI fitment tools. These Free Tools are provided solely for educational, illustrative, and trial purposes.

2. Website Data, Inputs, & Model Training

As an AI-focused organization, we utilize advanced computational models to power our interactive features. When you submit text, prompts, job requirements, or other information through our contact forms or public Free Tools (collectively, "User Submissions"):

Interactive Learning & System Refinement: We may process and analyze User Submissions to optimize user experience, evaluate tool performance, and refine the core algorithms that power our public features. This helps us ensure that our job design tools remain relevant, accurate, and state-of-the-art.
Secure Enterprise API Integrations: Our public Free Tools leverage commercial, enterprise-grade application programming interfaces (APIs) hosted by industry-leading foundation model providers (such as OpenAI, Anthropic, and Google). While these enterprise APIs are governed by terms designed to restrict third-party model training on transmitted data, SkillsBridge.AI does not exercise direct custodial control over the underlying infrastructure or internal data policies of these third-party systems.
No Expectation of Confidentiality for Outputs: Because our public Free Tools are designed for demonstration, trial, and educational purposes, you acknowledge and agree that any templates, job descriptions, or fitment analyses generated by these tools (the "Outputs") do not carry any expectation of confidentiality, privacy, or exclusive ownership. SkillsBridge.AI does not represent or warrant that these generated Outputs are unique to you, and similar queries by other users may yield identical or substantially similar results.
Recommended Best Practice for Public Testing: To protect your organization's internal structures and proprietary IP while exploring our public features, we recommend using generalized titles, mock operational metrics, and simulated requirements. Please avoid inputting highly confidential trade secrets or sensitive personal identification information into any public-facing web tools.

3. Permitted & Prohibited Uses of the Site

You are granted a limited, personal, non-exclusive, revocable, and non-transferable license to access the Site and use its informational resources and Free Tools strictly in accordance with these Terms.

You agree that you will not, and will not permit any third party to:

Use any robot, spider, scraper, or other automated means to access the Site, scrape our
content, or extract bulk datasets (including our standard skills database, occupational
mappings, and marketing copy) for any purpose, including training competitive AI models.

Use our public Free Tools in an abusive, high-volume, automated, or scripted manner that disrupts website performance or exceeds fair usage limits.
Attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Site.
Engage in any form of "prompt injection," "jailbreaking," or other adversarial input manipulation designed to bypass, override, exploit, or trick the safety filters, system instructions, or operational constraints of the AI models powering the Site's Free Tools.
Subject our public AI models or web servers to excessive, systematic, or automated "stress-testing," "red-teaming," or security vulnerability probing without our prior, explicit written authorization.
Use the Site, its contact forms, or its Free Tools to transmit spam, malware, harassing
material, or unlawful content.

4. SkillsBridge.AI Intellectual Property

Ownership: All content on this Site—including but not limited to text, marketing copy, graphics, logos, illustrations, blog articles, user interface designs, the proprietary database structure mapping human-AI collaboration areas, our contextual Skills DNA taxonomy, software code, and the selection and arrangement thereof—belongs exclusively to SkillsBridge.AI Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
No Unlicensed Copying: You may not copy, reproduce, republish, distribute, or create derivative works from our website content without our express prior written permission.
Feedback: If you choose to provide us with feedback, ideas, or suggestions regarding the Site, our brand, or our offerings, you agree that we may use such feedback without restriction, obligation, or compensation to you.

5. Third-Party Links & Social Media Integration

Our Site contains links to external websites, services, or social networks (such as LinkedIn, Facebook, Instagram, and YouTube) that are not owned or controlled by SkillsBridge.AI. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or reliability of any third-party websites. Your interactions with these platforms are governed solely by those third parties' respective terms and policies.

6. General Disclaimers & "As-Is" Status

As-Is Provision & AI System Limitations: The Site, its informational content, blog posts, and all public Free Tools are provided on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express or implied. You acknowledge that generative AI models are subject to systemic limitations, including the potential for AI hallucinations, factual inaccuracies, computational anomalies, or unexpected outputs.
No HR, Legal, or Decision-Making Warranty: Any outputs or templates generated by our public Free Tools (including draft job descriptions or fitment estimations) are for general illustrative and strategic discussion purposes only. They do not constitute legal, HR, regulatory, or compliance advice.
Human-in-the-Loop Validation: You are solely responsible for ensuring that any materials, job descriptions, or parameters sourced from our public Site are reviewed and validated by qualified human professionals before being published, actioned, or used for automated employment or hiring decisions.

7. Limitation of Liability

Disclaimer of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SKILLSBRIDGE.AI INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR THE FREE TOOLS.

Liability Cap: Because the Services on this Site are provided entirely free of charge, our
total aggregate liability for any claim arising out of or relating to these Terms or your use of the Site is limited to the maximum extent permitted by applicable law, not to exceed $0.00 USD.

8. Privacy & Data Handling

Your use of the Site is also governed by our Privacy Policy, which outlines how we collect, use, and safeguard the information you provide when browsing our Site, subscribing to newsletters, applying for jobs, or submitting contact forms.

9. Governing Law & Dispute Resolution

Governing Law: These Terms, and any legal action or dispute arising out of or related to them, shall be governed exclusively by the laws of the State of New Jersey, United States, without regard to conflict of law principles.
Dispute Resolution: The parties agree to first attempt to resolve any dispute informally. If informal efforts fail, any dispute, controversy, or claim arising out of these Terms shall be settled by binding arbitration in Mercer County, New Jersey, in accordance with the rules of the American Arbitration Association (AAA).

10. General Provisions (Severability & Entire Agreement)

Severability: If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. In such cases, the remaining terms (including our New Jersey governing law, Mercer County arbitration clause, and intellectual property protections) will remain in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SkillsBridge.AI Inc. regarding your use of and access to our public Site, superseding any prior or contemporaneous written or oral agreements, communications, or understandings regarding the Site.

11. Modifications to the Site & Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Site, its content, or its Free Tools at any time without prior notice. We may also update these Terms from time to time.

Any changes will be posted directly to this page with an updated "Last Updated" date, and your continued use of the Site following such updates constitutes your acceptance of the revised terms.
